Terms of Service

1. Parties

These Terms of Service ("Terms") are entered into between you ("User", "you") and sershiko, an eenmanszaak registered in the Netherlands, trading as TAK! TEXT ("TAK! TEXT", "Service", "we", "us").

2. Service Description

TAK! TEXT provides audio and video transcription through a Telegram bot. Depending on your plan and settings, the Service may include speaker labels, timestamps, summaries, translation, Q&A, and export features.

The Service is a digital service. Transcription starts after you submit audio, video, or a supported link to the bot.

3. Accounts and Telegram

The Service operates through Telegram. You are responsible for access to your Telegram account and for complying with Telegram's own terms and policies.

We may refuse, suspend, or limit access where needed to protect the Service, comply with law, prevent abuse, or enforce these Terms.

4. Plans, Prices, and Payments

Available plans, minute packages, limits, prices, billing periods, and supported payment methods are shown in the bot before purchase. Prices may include applicable taxes unless stated otherwise.

Current payment flows may include:

• Tribute: recurring subscription payments for paid plans.
• Telegram Stars: one-time purchases for minute packages where available.

Payment providers may apply their own terms, payment methods, security checks, fees, dispute processes, and refund mechanics.

5. Subscriptions, Auto-Renewal, and Cancellation

Paid plans may be provided as recurring subscriptions. Unless cancelled before renewal, a subscription may renew automatically through the payment provider.

You can cancel a recurring subscription using the payment provider's cancellation tools, or contact us at info@taktext.com or @taktext_support_bot for help.

Cancellation stops future renewals. Unless otherwise required by law or by the payment provider's rules, access remains available until the end of the paid billing period.

6. Refund Policy and EU Digital Content Withdrawal

Because TAK! TEXT provides digital services that can start immediately after purchase, you request immediate performance when you buy a plan or package and use the Service. Once digital performance has started, your right of withdrawal may be lost to the extent permitted by Article 16(m) of Directive 2011/83/EU and applicable national law.

Refund handling depends on the payment rail:

• Tribute subscriptions: cancellation and refund options may depend on Tribute's tools and rules. Contact support if you believe a charge was made in error.
• Telegram Stars: purchases are processed through Telegram. Telegram's refund and dispute rules may apply.
• Technical failures: if the Service fails to deliver due to a verified technical issue, we may restore minutes, re-run processing, or refund where required by law.

Refund requests are reviewed case by case. We may refuse refunds for already consumed minutes, abusive use, or requests that conflict with payment provider rules, unless applicable law requires otherwise.

7. Acceptable Use

You must not use the Service to process content you are not allowed to process, violate rights of others, abuse infrastructure, reverse engineer the Service, bypass limits, or submit unlawful content.

You are responsible for ensuring that you have the rights and legal basis needed to upload and transcribe content.

8. Intellectual Property

You retain rights to content you submit. You grant us the limited right to process that content only as needed to provide the Service, maintain security, and comply with law.

TAK! TEXT, the website, bot interface, software, branding, and service design remain our intellectual property or licensed assets.

9. Availability and Changes

The Service is provided on a commercially reasonable basis. We may change features, limits, providers, and prices. Material changes that affect paid users will be communicated through the Service or website where reasonably possible.

10. Limitation of Liability

To the maximum extent permitted by law, TAK! TEXT is not liable for indirect damages, lost profits, loss of data caused by user error, Telegram outages, payment provider outages, or third-party service failures.

Nothing in these Terms excludes liability where exclusion is not allowed by applicable law.

11. Privacy

Our processing of personal data is described in the Privacy Policy.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Netherlands, without prejudice to mandatory consumer protection rights that may apply in your country of residence.
